1. Acceptance of Terms

By accessing or using Rendyr's services at rendyr.health and app.rendyr.health (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of a healthcare organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Rendyr provides Medicare performance infrastructure including AI-assisted clinical documentation, CPT and ICD-10 coding support, HCC gap tracking, MIPS quality measure reporting, and pre-submission audit risk scoring. The Services are designed to support qualified clinicians and must be verified against the medical record and applicable payer rules before submission.

Clinical Decision Support Disclaimer: Rendyr's AI-generated output is clinical decision support only. It does not constitute medical advice and does not replace the clinical judgment of licensed healthcare providers. All coding and documentation suggestions must be reviewed and verified by a qualified clinician before submission to any payer.

3. HIPAA Compliance and BAA Requirement

Healthcare organizations that upload Protected Health Information (PHI) to Rendyr must execute a Business Associate Agreement (BAA) with Rendyr prior to uploading any patient data. Use of the Services without an executed BAA for PHI is prohibited. Contact us at privacy@rendyr.health to execute a BAA.

4. User Responsibilities

You agree to:

  • Use the Services only for lawful purposes and in compliance with all applicable laws including HIPAA
  • Maintain the confidentiality of your account credentials
  • Ensure all users in your organization are properly trained on HIPAA requirements
  • Review and verify all AI-generated coding and documentation before submission
  • Promptly notify Rendyr of any suspected security breach or unauthorized access
  • Not attempt to reverse engineer, copy, or create derivative works of the Services

5. Subscription and Payment

Access to Rendyr requires a paid subscription. Pricing is available at rendyr.health or by contacting us directly. Subscriptions are billed monthly or annually as agreed. You may cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are not provided for partial periods.

6. Intellectual Property

Rendyr retains all intellectual property rights in the Services, including the AI models, software, and platform. You retain ownership of all clinical documentation and patient data you input into the Services. By using the Services, you grant Rendyr a limited license to process your data solely to provide the Services.

Rendyr may use aggregated, de-identified data derived from platform usage to improve the Services, subject to HIPAA de-identification standards (45 CFR §164.514).

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. RENDYR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES. RENDYR'S AI-GENERATED CODING AND DOCUMENTATION SUGGESTIONS ARE NOT GUARANTEED TO BE ACCURATE, COMPLETE, OR COMPLIANT WITH ANY PARTICULAR PAYER'S REQUIREMENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENDYR'S LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. RENDYR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

9. Indemnification

You agree to indemnify and hold harmless Rendyr and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any applicable law including HIPAA.

10. Termination

Either party may terminate these Terms at any time. Rendyr may suspend or terminate your access immediately if you violate these Terms, fail to pay subscription fees, or if required by law. Upon termination, Rendyr will provide your data in a portable format and delete PHI in accordance with the BAA.

11. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Williamson County, Tennessee.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
